The plunge had nothing to do with fundamentals. And as of today's date, based only on assumptions. But assuming the deal doesn't indeed close, it's because of a credit agreement dispute.

This stock is oversold on weird news.

If the financing on the LBO fails, Bain will still want the company, they'll just offer less. By having the financing frozen on the deal, Bain can now offer $29-$32 a share, which the banks will be fine with.
