Well known activist investor ValueAct Capital recently disclosed that it has purchased a 5.1% stake in drilling services company Baker Hughes (BHI). Baker Hughes recently agreed to merge with fellow oil services company Halliburton.

ValueAct has said that it loves the merger and that it believes it will enable Baker Hughes to get through the oil price downturn in good shape. While merger arb is not a normal investment strategy for ValueAct, this investment could almost be looked at in this light. In the merger Halliburton will pay BHI shareholders 1.12 of its shares plus $19 in cash for every BHI share. As of today's open, that would equate to $62.83 per BHI share versus a current market price of only $56.25. The 11.6% spread indicates that many investors believe that the deal won't get done on the announced terms or that antitrust concerns will cause the government to force the combined company to sell a decent chunk of its operations.

This is a bet that the deal goes through and is beneficial for the company.

BHI has an A for financial health and a PEG less than 1 on Morningstar, so it's one of my long picks.

In my opinion, Baker Hughes is going to be an important company in the coming years as the world's nations increasingly demand oil and other liquids. Besides paying a healthy 1.2% dividend, Baker has a good growth outlook and should have favorable exposure to increasing well numbers.

All oil and gas service names are pretty cheap right now. Fwd PE is 9.6 - that's cheap for a company that is growing revs at an impressive clip.

Stock price has been hammered pretty bad lately. Almost in free fall. I used to own BHI shares via ESPP until very recently when I sold my entire stake as I no longer believe in its prospects. Anyone else has anything to share about BHI and what lies ahead? I am selling ahead of earnings report due on Apr 23 which I think will be an absolute bomb for the stock price.
