Anyone want to take a shot at a joke about an organic fertilizer completing a reverse merger with a subsidiary company of a network security patent company? Maybe something about needing hip-waders to get through the details of their patent portfolio… More

Whoa, Nellie, not so fast fella. No way! Back to reality. Not a good pick. Not now. Wrong logic at this point. Gravity calls. Watch out on this one. Not at all optimistic. Pessimism reigns. Downward trend continues. Likely to continue to underperform. Look out below. More downside imminent. Danger danger, at least for the next month. So obvious.

Another penny stock I found using Joel Greenblatt's "magic formula" screens. Lots of cash, high profit margins, tiny market cap ($60 million). Possibly a cyber-security version of InterDigital (a company who routinely shows up on the magic formula screens). Half their market cap is in cash, plus their business model is lighter than air.

They recently purchased a bunch of patents from IBM. In negotiations with Verizon and a phone company in India to pre-install their wireless security solution. I think the big patent case (against Symantec) starts in the summer of 2018. So far the patents are holding up well (From the IP Watchdog blog: "Finjan went 30 for 31 on assorted invalidity grounds"). These guys are suing Palo Alto, FireEye, it's a who's who of cyber security firms. If the patents hold up this stock will be amazing. Their patent lawyers are highly respectable. And they already won one jury trial. Outperform.

Anyone want to take a shot at a joke about an organic fertilizer completing a reverse merger with a subsidiary company of a network security patent company? Maybe something about needing hip-waders to get through the details of their patent portfolio and lawsuits?

“Finjan Holdings, Inc. (the “Company”, or “Finjan Holdings”), a Delaware corporation (formerly Converted Organics, Inc.), has two reportable business segments: a web and network security technology segment focused on licensing and enforcing its technology patent portfolio, operated by its wholly-owned subsidiary Finjan, Inc. (“Finjan”), and an organic fertilizer segment operated by another wholly-owned subsidiary, Converted Organics of California, LLC (“Converted Organics”). On June 3, 2013, Converted Organics, Inc. entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Finjan. Effective June 3, 2013 and pursuant to the Merger Agreement, a wholly owned subsidiary merged with and into Finjan and Finjan became a wholly-owned subsidiary of Converted Organics, Inc. (the “Merger”). The transaction was accounted for as a reverse acquisition under the acquisition method of accounting for business combinations, with Finjan being treated as the acquiring company in the Merger for accounting purposes. Accordingly, the assets and liabilities and the historical operations that are reflected in the Finjan Holdings condensed consolidated financial statements are those of Finjan and are recorded at the historical cost basis of Finjan. The results of operations of the acquired Converted Organics business have been included in the condensed consolidated statements of operations since the date of the Merger.”

I’ve mentioned before that I don’t like these types of firms, which litigate patents and really don’t produce anything of value. All they’re doing is trying to extract as much value as they can from a series of patents by suing other firms who are allegedly infringing. Here’s another company that has bought its patent portfolio, including a recent $8.5MM purchase from IBM, and is suing other firms to enforce its rights. It begs the question, if these patents were super valuable, why would these companies be selling them for such low value (relatively speaking). Maybe Finjan can make hay of some of these lawsuits and produce a big win for their shareholders but I highly doubt it. So many of these firms have come and gone over the past decade, I’ve lost count. This really comes down to whether you believe that the patent portfolio has any long- or medium-term value. They have dozens of pages of lawsuits they have filed against companies ranging from FireEye to Symantec Corp. They have filed lawsuits against pretty much every large security firm actively involved in the market today. I have been proven wrong in the patent infringement boutique industry before, but I don’t hold any high hopes for this firm. I will hold my down thumb until I see they are able to generate predictable licensing revenues– or until they plummet from inability to generate consistent revenue / lack of interest in the shares.
